1. Acceptance of Terms & Contractual Hierarchy
These Terms and Conditions ("Terms") govern your access to and use of the website located at mediamirch.com and general commercial inquiries with Media Mirch ("Agency", "we", "us", or "our").
2. Scope of Agency Services
Media Mirch provides strategic public relations, corporate communications, media relations, press conference management, book publishing publicity, digital PR, and search engine optimization (SEO) advisory services.
The exact scope, timelines, deliverables, and service tiers for any client campaign are defined in a separate written project proposal or Statement of Work signed by both parties.
3. Media Placements & Editorial Independence Disclaimer
Clients acknowledge and agree to the following fundamental principles of public relations:
- Editorial Discretion: All final editorial decisions—including whether to publish a story, article headlines, content angles, interview timing, publication dates, and broadcast airtime—remain strictly under the independent editorial control of external media houses and publications.
- No Guaranteed Organic Outcomes: Media Mirch does not guarantee specific organic news placement, journalist sentiment, website traffic, user conversions, sales, or search engine positions unless explicitly contracted as a sponsored/paid syndication placement under a specific written SOW.
4. Client Obligations & Truthfulness of Information
Clients engaging Media Mirch agree to provide truthful, accurate, and non-defamatory information. Specifically, the client warrants that:
- All facts, corporate milestones, executive claims, statistical figures, and scientific claims supplied for press releases or media pitches are authentic, lawful, and fully substantiated.
- Client-supplied logos, imagery, audio, and video assets do not infringe upon any third-party intellectual property or privacy rights.
- The client will designate an authorized point of contact to provide timely approvals and reviews to ensure media newsroom deadlines are met.
5. Intellectual Property & Publicity Rights
- Client IP: The client retains exclusive ownership of all pre-existing trademarks, trade names, brand assets, and proprietary technical data provided to Media Mirch.
- Agency IP: Media Mirch retains all ownership of proprietary media distribution databases, campaign methodologies, PR strategy frameworks, and custom website software code.
- Publicity Rights: Media Mirch reserves the standard industry right to showcase publicly published media coverage, press clippings, and brand logos in agency portfolios and case studies, unless expressly prohibited by a written Non-Disclosure Agreement (NDA).
6. Fees, Invoicing, Taxes & Disbursements
Commercial engagements are subject to the following financial terms:
- Statutory Taxes: All professional fees quoted are exclusive of statutory taxes, including applicable Goods and Services Tax (GST), which will be billed in accordance with prevailing Indian tax laws.
- Payment Terms: Retainers and project initiation fees are payable in advance prior to the commencement of media outreach or event execution.
- Out-of-Pocket Disbursements: Third-party expenses—including press conference venue bookings, wire syndication fees, print collateral, and audio-visual equipment rentals—are billed as direct disbursements and are non-refundable once committed or booked with third-party vendors.
7. Deliverables, Revisions & Approvals
To ensure fast-moving newsroom schedules are met, the following delivery standards apply:
- Editorial Revisions: Standard press release drafting includes up to two (2) rounds of client revisions within the agreed initial brief. Substantial changes in strategic direction or post-distribution revisions constitute a new scope.
- Approval Deadlines: Time-sensitive press releases tied to live event or earnings cycles require prompt client sign-off. Media Mirch is not liable for delayed media coverage caused by delayed client approvals.
8. Termination & Cancellation
Either party may terminate a retainer or project engagement in accordance with the terms specified in the applicable Statement of Work:
- Termination for Cause: Either party may terminate immediately if the other party commits a material breach of contract that remains uncured after 15 days of written notice.
- Treatment of Fees upon Termination: Upon termination, the client remains liable for all professional services performed and all non-cancelable third-party commitments incurred up to the effective termination date. Unearned advance retainers will be reconciled and refunded within 30 days.
9. Limitation of Liability & Indemnification
To the maximum extent permitted by applicable Indian law:
- Media Mirch's aggregate liability arising out of any engagement shall be limited to the total professional agency fees actually paid by the client under the specific SOW during the three (3) months preceding the incident.
- Media Mirch is not liable for indirect, incidental, punitive, or consequential damages, including loss of business profits or third-party editorial misinterpretations.
- The client agrees to indemnify and hold harmless Media Mirch against any third-party claims, legal actions, or regulatory penalties arising from false, defamatory, or copyright-infringing materials provided by the client for media dissemination.
10. Governing Law & Dispute Resolution
These Terms, and all commercial relationships between the client and Media Mirch, shall be governed by and construed in accordance with the laws of the Republic of India.
11. Amendments & Contact Details
Media Mirch reserves the right to modify these Terms & Conditions at any time. Continued use of our website or services following published updates signifies acceptance of the revised terms.
